End User License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you and shelf. governing your use of the shelf. website, applications, and services (the “Service”). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

1. License grant

shelf. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose: discovering products available at retail stores near you, and — for retailers — sharing product catalog and inventory availability with shoppers.

This license does not grant you any ownership interest in the Service, its software, or its content.

2. Retailer accounts

Retailers who create an account and connect a point-of-sale system (such as Square or Clover) to the Service authorize shelf. to access, on a read-only basis, their product catalog, current stock counts, listed prices, and store location details, solely to display that information to shoppers and operate the Service.

Retailers are responsible for maintaining the confidentiality of their account credentials, for all activity under their account, and for having the right to share the catalog and inventory data they connect. A retailer may disconnect their point-of-sale system at any time from their dashboard, which removes their synced locations and inventory from the Service.

3. Acceptable use

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of the Service or its software
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Scrape, harvest, or bulk-extract data from the Service by automated means
  • Use the Service to transmit malware, interfere with its operation, or attempt to gain unauthorized access to any systems or data
  • Submit false, misleading, or infringing catalog, inventory, or store information
  • Use the Service in violation of any applicable law or regulation

4. Inventory information

Inventory availability, pricing, and store details shown on the Service are provided by retailers via their point-of-sale systems and are updated periodically. shelf. does not guarantee that any item shown as in stock will be available, or that prices shown are current, when you visit a store. Purchases occur between you and the retailer; shelf. is not a party to any transaction.

5. Intellectual property

The Service, including its software, design, text, and branding, is owned by shelf. and protected by intellectual property laws. Product names, images, and store information remain the property of the respective retailers or their owners. Retailers grant shelf. a license to display the catalog and inventory data they connect for the purpose of operating the Service.

6. Privacy

Our collection and use of information is described in our Privacy Policy, which is incorporated into this Agreement by reference.

7. Third-party services

The Service integrates with third-party services, including point-of-sale providers such as Square and Clover. Your use of those services is governed by their own terms and policies, and shelf. is not responsible for their acts or omissions.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. shelf. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT INVENTORY INFORMATION WILL BE ACCURATE OR CURRENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, shelf. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL THE TOTAL LIABILITY OF shelf. FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID shelf. IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

You may stop using the Service at any time. Retailers may delete their account or disconnect their point-of-sale system at any time. shelf. may suspend or terminate your access to the Service at any time, with or without notice, if you violate this Agreement or if we discontinue the Service. Sections 5, 8, 9, and 11 survive termination.

11. Governing law

This Agreement is governed by the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in Cook County, Illinois.

12. Changes to this Agreement

We may update this Agreement from time to time. If we make material changes, we will update the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.
